Foreign investors often arrive with a signed lease and a hired manager before anyone has checked whether their sector is even open to foreign capital. The legal sequence below is the one we run for every entering client, in order, because each step depends on the one before it.
1. Confirm sector eligibility
Investment Regulation No. 474/2020 lists activities reserved for the state, for domestic investors, or for joint ventures. Everything else is open to full foreign ownership. This thirty-minute check prevents the most expensive category of mistake.
2. Choose the vehicle
Most investors form a private limited company; a branch office suits contract-specific entries; a representative office cannot trade at all. The choice affects tax, liability and exit — decide it deliberately.
3. Obtain the investment permit
The Ethiopian Investment Commission issues permits against a defined document set: authenticated corporate documents of the parent, passport copies, and evidence of the intended activity. Authentication of foreign documents takes the longest — start it first.
4. Register the company and licence the trade
Commercial registration and business licensing follow the permit. Names are checked for conflicts; regulated activities need sector clearances.
5. Register the capital with the National Bank
Inbound investment capital must be registered with the National Bank of Ethiopia when it enters. This registration is what later supports repatriating dividends and sale proceeds. It is the most commonly skipped step and the most regretted.
6. Register for tax
TIN registration, VAT registration where turnover requires it, and payroll withholding setup — before the first invoice, not after.
7. Secure work and residence permits
Foreign staff need work permits (through the EIC for investment entities) and residence permits. Quotas apply, and knowledge-transfer plans are increasingly requested.
